This Mutual Non-Disclosure Agreement ("Agreement") is entered into as of the date of the last signature below (the "Effective Date") by and between:
SketchMyRoof, INC., a Florida corporation doing business as "Built by SMR" ("SMR"), and
The countersigning party, identified below ("Recipient").
The parties wish to explore a potential business relationship (the "Purpose") and, in connection with the Purpose, may disclose to each other certain confidential and proprietary information.
"Confidential Information" means any non-public information disclosed by either party to the other, whether orally, in writing, electronically, or by inspection, including but not limited to: business plans, customer data, pricing, technology, software, integrations, workflows, trade secrets, and any other information designated as confidential or that reasonably should be understood to be confidential.
Each party agrees to: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without prior written consent; (c) use Confidential Information solely for the Purpose; (d) protect Confidential Information using at least the same degree of care it uses for its own confidential information, but no less than reasonable care.
Confidential Information does not include information that: (a) is or becomes publicly available without breach of this Agreement; (b) was known to the receiving party prior to disclosure; (c) is independently developed without use of Confidential Information; (d) is rightfully received from a third party without restriction.
This Agreement is effective for two (2) years from the Effective Date. Obligations of confidentiality survive termination for a period of two (2) years.
Upon written request, each party shall promptly return or destroy all Confidential Information received from the other party.
Nothing in this Agreement grants either party any rights in or to the other party's Confidential Information, except the limited right to use it for the Purpose.
This Agreement shall be governed by the laws of the State of Florida, without regard to conflict of law principles.
This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior discussions and agreements.
